Terms of Service

Effective Date: November 26, 2025

 

1. Introduction

 

Welcome to Dialed ("Service"), a Software-as-a-Service (SaaS) application provided by Dialed LLC ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of the Service available via the Salesforce AppExchange ("AppExchange"). By installing, accessing, or using the Service, you agree to be bound by these Terms.

 

2. Eligibility

 

You must be at least 18 years old and have the authority to enter into a legally binding agreement on behalf of your organization to use this Service.

 

3. License and Access

 

Subject to your compliance with these Terms, Company grants you a limited, non-exclusive, non-transferable, and revocable license to use the Service within your Salesforce environment.

 

4. Subscription and Fees

 

The Service may be offered on a subscription basis, with fees outlined on the AppExchange listing or in a separate agreement. Payments are non-refundable unless explicitly stated otherwise. Failure to make timely payments may result in suspension or termination of access.

 

5. Data and Privacy

 

Dialed is a Salesforce AppExchange application that operates entirely within the customer’s own Salesforce environment. All customer data used by the application is stored, processed, and secured by Salesforce in accordance with the customer’s Salesforce agreement and Salesforce’s security, compliance, and data-processing framework. Dialed does not host, store, or retain customer data outside of Salesforce.

 

Dialed does not receive, access, or store any customer Personal Data (including Personal Data as defined under GDPR, CCPA, and similar regulations) outside of the customer’s Salesforce org. All permissions granted to Dialed within Salesforce are used solely to enable application functionality within that environment.

Dialed makes one external API call to Nixtla’s TimeGPT service to generate time-series forecasts. This call transmits only numerical values and timestamps required

for the forecasting request and does not include names, identifiers, or any other personal or sensitive information.

 

Dialed does not sell, share, or use customer data for any purpose outside the scope of providing the services described in this Agreement. If Dialed’s data-handling practices change such that Personal Data would be transferred or processed outside Salesforce, Dialed will provide prior written notice and update this policy accordingly.

 

Customers are responsible for managing their own Salesforce environment, including user access, permissions, data classification, data residency, and compliance with applicable data-protection laws.

 

6. Customer Responsibilities

 

You agree to:

Use the Service in compliance with all applicable laws and Salesforce policies.

Not modify, reverse-engineer, or interfere with the Service.

Maintain the confidentiality of any access credentials.

 

7. Salesforce Integration and Third-Party Services

 

The Service integrates with Salesforce, and your use of Salesforce remains subject to Salesforce’s terms. We are not responsible for any changes in Salesforce’s policies or services that may impact the functionality of our Service.

 

8. Service Availability and Support

 

We strive to ensure uptime and reliability but do not guarantee uninterrupted availability. Support is provided as detailed in the AppExchange listing or a separate agreement.

 

9. Intellectual Property Rights

 

The Service, including but not limited to its software, design, trademarks, and proprietary content, is owned by the Company and protected under applicable intellectual property laws. You are granted a limited right to use the Service, but no ownership rights are transferred. You agree not to copy, distribute, modify, or create derivative works of any part of the Service without prior written consent from the Company.

 

10. Beta Services

 

We may offer access to certain features or functionality of the Service in a beta or pre-release version ("Beta Services"). Beta Services are provided "as-is" and "as-available," without any warranties, express or implied. We may change, suspend, or discontinue Beta Services at any time without notice. You acknowledge that Beta Services may contain bugs or errors and agree to provide feedback as requested to help improve the Service. Your use of Beta Services is voluntary and at your own risk.

 

11. Limitation of Liability

 

To the fullest extent permitted by law, Company shall not be liable for indirect, incidental, consequential, or punitive damages arising out of or related to the use of the Service.

 

12. Termination

 

You may discontinue use of the Service at any time. We reserve the right to suspend or terminate your access if you violate these Terms. Upon termination, you must cease all use of the Service.

 

13. Company Discontinuation

 

We reserve the right to modify, suspend, or discontinue the Service, in whole or in part, at any time, with or without notice. In such cases, we will make reasonable efforts to notify you in advance when practicable. You agree that the Company shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

 

14. Changes to These Terms

 

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

 

15. Governing Law and Dispute Resolution

 

These Terms are governed by the laws of New York State. Any disputes shall be resolved through arbitration or the courts of New York State.
